By installing, accessing, or using UpSheet Pro ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

UpSheet Pro is a Google Sheets add-on that allows users to attach files to spreadsheet cells. The Service includes:

File upload and attachment functionality
File management and search features
Integration with Google Drive for storage
Administrative tools for spreadsheet owners

3. User Accounts and Registration

To use UpSheet Pro, you must:

Have a valid Google account
Be at least 13 years of age
Provide accurate information during registration
Maintain the security of your account

4. Subscription and Payment

4.1 Free Trial

We offer a free trial period. During the trial, you have access to limited features as described on our pricing page.

4.2 Paid Subscription

After the trial period, continued use requires a paid subscription. Payment is processed through Google Workspace Marketplace.

4.3 Refunds

Refund requests are handled according to Google Workspace Marketplace policies. Contact us at support@upsheet.pro for assistance.

5. Acceptable Use

You agree NOT to use the Service to:

Upload illegal, harmful, or offensive content
Violate any applicable laws or regulations
Infringe on intellectual property rights
Distribute malware or malicious software
Attempt to gain unauthorized access to systems
Interfere with or disrupt the Service
Use the Service for spam or unsolicited communications

6. File Storage and Ownership

      Important: All files uploaded through UpSheet Pro are stored in YOUR Google Drive. You retain full ownership and control of your files.
    

You are responsible for:

The content of files you upload
Ensuring you have rights to upload such files
Backing up your important files
Managing your Google Drive storage

7. Intellectual Property

UpSheet Pro and its original content, features, and functionality are owned by us and are protected by international copyright, trademark, and other intellectual property laws.

You may not:

Copy, modify, or distribute the Service
Reverse engineer or decompile the Service
Remove any copyright or proprietary notices
Use our trademarks without permission

8. Privacy

Your use of the Service is also governed by our Privacy Policy. Please review it to understand our practices.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

The Service will be uninterrupted or error-free
Defects will be corrected
The Service is free of viruses or harmful components

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

Business interruption

Your use of the Service
Your violation of these Terms
Your violation of any third-party rights
Content you upload through the Service

12. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including:

Breach of these Terms
Fraudulent or illegal activity
Non-payment of subscription fees

Upon termination, your right to use the Service will cease immediately. Your files will remain in your Google Drive.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of significant changes by:

Posting updated Terms on this page
Updating the "Last Updated" date
Sending email notification for major changes

14. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles.

15. Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through:

Mediation if negotiation fails
Binding arbitration as a last resort

16. Severability
